Terms of Use
1. These Terms
These Terms of Use (“Terms”) apply to the Arivion DeFi website and everything on it (the “Site”), operated by Arivion DeFi (“Arivion”, “we”, “us”). By using the Site, you agree to these Terms, our Privacy Policy and our Risk Disclosure. If you don't agree, please don't use the Site.
2. What Arivion is, and isn't
Arivion is a self-service interface. It shows information about crypto assets and tokenized stocks, and helps you prepare swap and bridge transactions that you review and sign in your own wallet.
Swaps and bridges are routed and carried out by independent third-party protocols, mainly the Mayan protocol, and settled on public blockchains. Arivion doesn't run an exchange, bridge, order book or liquidity pool, and doesn't execute, match or settle trades.
Arivion never takes custody of your assets, private keys or recovery phrase. We can't move, freeze, cancel, reverse or recover your transactions.
Arivion is not a bank, broker, dealer, exchange, investment adviser or fiduciary, and doesn't issue any token.
3. Who can use Arivion
You may use the Site only if:
- you are at least 18 years old and able to enter into a binding agreement;
- you are not named on a sanctions list, such as those kept by the United Nations Security Council, the Philippine Anti-Money Laundering Council, the US Treasury (OFAC), the European Union or the United Kingdom;
- you are not located in, or ordinarily resident in, a country or region under comprehensive sanctions, currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine; and
- using the Site, and the assets you trade, is legal where you are. You're responsible for checking your local laws.
Tokenized stocks and ETFs may not be bought by or for US persons, or by anyone in the United States, Canada, the United Kingdom or mainland China, or anywhere else the token's issuer doesn't allow. Each issuer keeps its own rules: see Backpack Securities and Backed's restricted-countries list for xStocks.
Don't use a VPN or any other method to get around these limits. We may restrict access from any country or region at any time.
4. Your wallet, your responsibility
- You connect a third-party wallet, such as Phantom or MetaMask, which you use under its own terms. Keep your recovery phrase and private keys safe. Arivion will never ask for them.
- Check every transaction before you sign it: the asset, network, amount, receiving address and quote. Once a transaction is confirmed on a blockchain, it's final. We can't cancel, reverse or refund it.
- You pay the network fees for your transactions, and you need enough of the network's own asset (for example SOL on Solana) to cover them.
- If a swap can't be filled, the swap protocol may refund it under its own refund rules, sometimes as a different asset. Refunds are handled by the protocol, not by Arivion.
5. Tokenized stocks, ETFs and gold
- Tokenized stocks and ETFs on Arivion are issued by third parties, currently Backpack Securities and xStocks (by Backed Assets (JE) Limited). Tokenized gold (PAXG) is issued by Paxos.
- Arivion doesn't issue, hold, back or redeem any of these tokens. They aren't issued, sponsored or endorsed by the companies whose shares they track.
- What a token gives you depends on its issuer's terms. Holding a token isn't the same as owning the share in a brokerage account. It may not include voting or other shareholder rights, and redeeming it for the underlying asset is only possible through the issuer, for holders the issuer accepts.
- Read the issuer's documents before you buy. Our Risk Disclosure explains the main differences between issuers.
6. Information on the Site
- Prices, charts, descriptions, guides and FAQs on the Site are general information. They can be delayed, incomplete or wrong, and they aren't investment, financial, legal or tax advice. Talk to a licensed professional if you need advice.
- Showing an asset or company on the Site isn't a recommendation to buy or sell it.
- Links to other sites, such as exchanges, wallets, issuers and block explorers, are there for convenience. We don't control those sites and aren't responsible for them.
7. Acceptable use
When you use the Site, don't:
- use it for anything illegal, including money laundering, terrorist financing, fraud, or evading sanctions or taxes;
- use assets that come from crime;
- manipulate markets, or use the Site to deceive or harm others;
- attack, overload, probe or interfere with the Site, or scrape it in a way that harms it;
- copy the Site or pretend to be Arivion, for example with look-alike websites or social media pages; or
- get around the limits in section 3.
We may block access if we believe these rules or the law are being broken, and we'll cooperate with the authorities where the law requires.
8. Names, logos and content
- The Arivion name, logo and Site design belong to us. You may use the Site for your own personal, non-commercial purposes. Don't copy, change or redistribute it without our permission.
- Other names and logos, including those of companies, tokens, wallets and protocols, belong to their owners. We use them only to identify those assets and services. Their use doesn't mean those owners are affiliated with, or endorse, Arivion.
9. Availability and changes
- The Site and the third-party services behind it can be unavailable, slow, changed or discontinued at any time, without notice. Supported assets, networks and routes can change.
- We may update these Terms. The date at the top shows the latest version. We'll try to point out important changes on the Site. If you keep using the Site after an update, you accept the new Terms.
10. No warranties
The Site is provided “as is” and “as available”. To the fullest extent the law allows, we don't promise that it will be accurate, uninterrupted, secure or error-free, or that any transaction will succeed or produce a particular result.
11. Limits on our liability
- To the fullest extent the law allows, Arivion and the people who run it aren't liable for indirect, incidental, special or consequential losses, lost profits or lost data. We also aren't liable for losses caused by market movements; by your own mistakes, such as a wrong address or network; by failures of wallets, protocols, smart contracts, bridges, blockchains or token issuers; by hacks, phishing or other acts of third parties; or by actions of regulators.
- Our total liability for any claim related to the Site is limited to PHP 5,000.
- Nothing in these Terms limits liability for fraud, bad faith or gross negligence, or any other liability that can't be limited under Philippine law.
12. Your responsibility to us
If someone makes a claim against Arivion because you broke these Terms or the law, or misused the Site, you agree to cover the resulting losses and reasonable costs, including legal fees.
13. Taxes
You're responsible for any taxes on your transactions and for reporting them, for example to the Bureau of Internal Revenue.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines.
If you have a complaint, please contact us first. We'll try to resolve it within 30 days. If we can't, the dispute will be settled by the proper courts of the Philippines.
15. General
- These Terms, the Privacy Policy and the Risk Disclosure are the whole agreement between you and Arivion about the Site.
- If any part of these Terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we haven't given it up.
- We may transfer these Terms to someone who takes over the Site. You may not transfer them without our consent.
